3. Payments and Billing
Invoices: Invoices are issued based on the project milestones or schedule outlined in your contract.
Terms: Standard payment terms are Net 30 days unless otherwise specified in writing.
Late Payments: Late payments may be subject to interest at the rate of 1.5% per month or the maximum rate permitted by law.
Third-Party Financing: If you utilize third-party financing or factoring, BND is not responsible for any additional fees or penalties incurred due to your failure to meet the financier’s specific timelines or requirements.
4. Change Orders
Any modifications to the original scope of work must be documented in a written Change Order signed by both parties. No verbal approvals for change orders shall be considered legally binding. BND reserves the right to adjust timelines and pricing based on approved change orders.
5. Intellectual Property
Unless otherwise agreed in a written contract, BND retains all rights, title, and interest in and to any intellectual property created during the performance of services. This includes all content on the Site (logos, text, images, and code), which is protected by copyright and trademark laws.
6. Limitation of Liability
To the maximum extent permitted by law, Best Network Design, LLC shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data. Our total liability for any claim arising out of our services or use of the Site shall not exceed the amount paid for the specific service giving rise to the claim.

Our Site may contain links to third-party websites. BND is not responsible for the content, privacy policies, or practices of any third-party sites.
8. Termination
We reserve the right to terminate your access to the Site or suspend services upon written notice if you breach a material term of these Terms. Upon service termination, the client remains responsible for payment for all work performed up to the date of termination.
9. Governing Law
These Terms and your relationship with BND shall be governed by and construed in accordance with the laws of the State of Michigan, without regard to its conflict of law principles. Any legal action shall be brought in the courts located in Wayne County, Michigan.
10. Dispute Resolution
In the event of a dispute, the parties agree to first attempt to resolve the matter through good-faith negotiation. If negotiation fails, the parties agree to participate in mediation before pursuing litigation.
